Please read these Terms of Service (“Terms”) carefully before using the website www.avenio.ai and the services offered by Avenio Corporation (“Avenio,” “we,” “our,” or “us”). By accessing or using our platform, you agree to be bound by these Terms.

1. Acceptance of Terms

By accessing or using avenio.ai or any Avenio service, you confirm that you have read, understood, and agree to be bound by these Terms and all applicable laws and regulations. If you do not agree with any part of these Terms, you must not access or use our services. These Terms apply to all visitors, users, and others who access or use the platform.

2. Description of Service

Avenio provides an AI-powered platform for clinical protocol authoring, collaboration, and risk detection, designed for BioPharma companies and Contract Research Organizations (CROs). Our primary product, the Protocol Hub, enables regulated-industry teams to author, review, and manage clinical protocols with built-in compliance and audit capabilities.

We reserve the right to modify, suspend, or discontinue any aspect of our services at any time, with or without notice. Avenio shall not be liable to you or any third party for any modification, suspension, or discontinuation of services.

3. User Accounts

To access certain features of the platform, you may be required to create an account. When creating an account, you agree to provide accurate, current, and complete information. You are solely responsible for:

  • Maintaining the confidentiality of your account credentials and password.
  • All activity that occurs under your account, whether authorized by you or not.
  • Notifying Avenio immediately of any unauthorized use of your account or any other breach of security at privacy@avenio.ai.

Avenio will not be liable for any loss or damage arising from your failure to protect your account credentials.

4. Acceptable Use

You agree to use the platform only for lawful purposes and in a manner consistent with these Terms. You must not:

  • Reverse engineer, decompile, disassemble, or attempt to derive the source code of any part of the platform.
  • Attempt to gain unauthorized access to any portion of the platform, other user accounts, or Avenio's systems or networks.
  • Upload, transmit, or distribute any content that is unlawful, harmful, defamatory, or otherwise objectionable.
  • Use the platform to send unsolicited communications or engage in any form of spamming or phishing.
  • Interfere with or disrupt the integrity or performance of the platform or its underlying infrastructure.
  • Use the platform in any manner that violates applicable local, national, or international laws or regulations.

Avenio reserves the right to terminate or suspend access to any account that violates these acceptable use standards.

5. Intellectual Property

All content on the platform, including but not limited to text, graphics, logos, icons, images, software, and the compilation thereof, is the exclusive property of Avenio Corporation and is protected by applicable intellectual property laws. All trademarks, service marks, and trade names displayed on the platform are proprietary to Avenio Corporation.

Your Data: You retain full ownership of all data, documents, and content that you upload to the platform (“User Data”). By uploading User Data, you grant Avenio a limited, non-exclusive license to process and store that data solely for the purpose of providing the services to you. We do not claim ownership over your User Data.

6. User Data & Privacy

Our collection and use of personal information in connection with the platform is governed by our Privacy Policy, which is incorporated into these Terms by reference.

Users operating in regulated industries — including but not limited to pharmaceutical development and clinical research — are solely responsible for ensuring that their use of the platform complies with all applicable regulations, including 21 CFR Part 11 (Electronic Records and Electronic Signatures), GCP guidelines, and any other applicable regulatory frameworks. Avenio provides compliance-enabling features, but compliance obligations remain with the user organization.

7. Disclaimer of Warranties

The platform and all services are provided on an “as is” and “as available” basis, without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

AI-generated content produced by the platform, including protocol suggestions, risk assessments, and drafts, is provided for informational and productivity purposes only. Such content does not constitute professional medical, regulatory, or legal advice and should not replace the judgment of qualified professionals. Users are responsible for reviewing, validating, and taking accountability for all content before use in regulated activities.

8. Limitation of Liability

To the fullest extent permitted by applicable law, Avenio Corporation, its officers, directors, employees, agents, and partners shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including but not limited to loss of profits, data, goodwill, or business interruption — arising out of or in connection with your use of or inability to use the platform, even if Avenio has been advised of the possibility of such damages.

In no event shall Avenio's total aggregate liability to you for all claims arising out of or relating to these Terms or your use of the platform exceed the total amount paid by you to Avenio in the twelve (12) months immediately preceding the event giving rise to the claim.

9. Indemnification

You agree to defend, indemnify, and hold harmless Avenio Corporation and its officers, directors, employees, agents, licensors, and service providers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the platform, including but not limited to any User Data you submit, your violation of any third-party rights, or your violation of any applicable law or regulation.

10. Modifications to Terms

Avenio reserves the right to update or modify these Terms at any time at our sole discretion. When we make changes, we will update the “Last updated” date at the top of this page. For material changes, we may also provide additional notice such as an in-app notification or email.

Your continued use of the platform after any modifications to these Terms constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the platform.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. Any dispute arising out of or relating to these Terms or your use of the platform shall be resolved exclusively in the state or federal courts located in Contra Costa County, California, and you hereby consent to the personal jurisdiction of such courts.
